About these terms
These Terms of Service ("Terms") are an agreement between Atrim LLC, a Nevada limited liability company doing business as First Mate ("First Mate", "we", "us" or "our"), and you. By creating an account, accepting an invitation to a boat, or otherwise using First Mate (the "Service"), you agree to these Terms, our Privacy Policy and our Acceptable Use Policy. If you don't agree, don't use the Service.
If you use First Mate for a company — for example a charter, delivery or management business — you confirm you are authorised to accept these Terms for it, and "you" includes that company. If that business puts other people's personal data into First Mate, our Data Processing Addendum also applies and forms part of these Terms.
If you live in the UK or the EU and use First Mate as a consumer (for example while travelling), section 18 applies to you and takes priority over anything else in these Terms.
1. What First Mate is
First Mate keeps a record of your boat — equipment, spares and stock, maintenance, to-dos, shopping, vendors, documents, receipts, photos and the papers the boat needs to operate — and an AI assistant that answers questions and makes changes from that record.
2. Early access
First Mate is in early access. Features change, things can break, and we may change, pause or end parts of the Service. Before we end the Service or close your account for a reason other than a breach of these Terms, we will give you at least 30 days' notice and a chance to download your boat's record, unless a legal or security reason makes that impossible.
3. Your account
During early access, First Mate is not offered in the United Kingdom, the European Economic Area or Switzerland. Don't create an account if you are located there; we may close an account that was.
You must be at least 18 years old. Give us accurate information, keep your sign-in links and password to yourself, and tell us promptly if you think someone else has used your account. You are responsible for what happens under your account.
4. Boats, crew and roles
The person who creates a boat is its owner. Owners and admins can invite crew and give each person a role (such as admin, member or viewer); the role decides what that person can see and change.
- What crew add to a boat becomes part of that boat's record.
- Removing someone from a boat ends their access; what they added stays with the boat.
- If the owner's account is deleted, the boats it owns are deleted with it, including everything crew added to them.
- An owner is responsible for who they invite and the role they give them.
5. Your boat's record is yours
You keep all rights in what you and your crew put into First Mate — records, documents, receipts, photos, video, chat messages and anything else you upload or create ("Your Content").
You give us a non-exclusive, worldwide licence to host, store, copy, process and display Your Content only to run the Service for you and the people you share your boat with. That includes sending parts of it to the service providers listed on our Subprocessors page — for example to an AI model to answer your question.
We don't sell Your Content, we don't use it for advertising, and we don't use your private content to train AI models.
You confirm you have the right to upload Your Content and to let us process it this way.
6. What becomes shared with other owners
A few features exist so that every owner benefits from what one owner adds. When you use them, the contribution is visible to other First Mate users:
- A manual you add with Find manual (a public PDF from the web) can become part of the shared manual library once it is confirmed for the make and model.
- Confirming that a manual fits your equipment adds to a count other owners see. The count never shows your name or your boat.
- A vendor review you write is shown to other boats with your display name (or the first part of your email address) and your boat's name and model.
You give us a non-exclusive, perpetual, worldwide licence to keep showing those contributions to other users. Your boat's private papers, receipts, chat, photos and files are never shared this way.
7. AI answers can be wrong
First Mate's answers, extracted equipment lists, maintenance schedules, intervals, prices and suggestions come from AI models and from documents that may be out of date. They can be incomplete or wrong. Intervals marked as a template default are general practice, not the manufacturer's figure.
Check anything that matters — especially safety, rigging, steering, electrical, gas, fuel, through-hulls and seaworthiness — against the manufacturer's documentation and a qualified professional before you act on it. The skipper remains responsible for the boat, its crew and its passage.
8. Your keys and connected agents
If you add your own AI provider key in Settings, we use it to send requests to that provider for your boat. You are responsible for that provider's charges and terms, and for removing the key when you no longer want it used.
If you connect an outside AI agent to a boat, it can read and change what you granted it, within your role on the boat, until you revoke it. You are responsible for what agents you connect do.
9. Third-party content, prices and links
Manuals and documents from manufacturers and builders belong to their owners; we show them to help you use your equipment. Prices are market estimates from public search results, not offers to sell. Some shopping links may be affiliate links that pay us a commission; where they are, we say so next to the link. Sites and services we link to are not ours, and their terms apply.
10. Fees
First Mate is free during early access. If we introduce paid plans, we will tell you at least 30 days before any charge applies to you, and you will only be charged if you choose a paid plan.
11. Acceptable use
Use First Mate lawfully and in line with our Acceptable Use Policy. In particular, don't:
- resell, sublicense or provide the Service to others outside the boats you're on;
- copy, modify, reverse engineer or decompile the Service, except where the law allows it;
- try to reach a boat or account you weren't given access to, or get around a security control;
- upload malware or anything you don't have the right to share;
- overload or disrupt the Service, or scrape it outside the interfaces we provide.
12. Our service and your feedback
We and our licensors own the Service — its software, design, models, curated reference data and trademarks. These Terms don't give you any rights in it beyond using it. If you send us ideas or feedback, we may use them without any obligation to you.
13. No warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY ANSWER IS CORRECT. KEEP YOUR OWN COPIES OF PAPERS YOU CAN'T AFFORD TO LOSE.
14. Limitation of liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited or excluded.
TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR DAMAGE TO A VESSEL OR PROPERTY, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ITS ANSWERS.
TO THE EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US$100.
Some places don't allow these exclusions or limits, so they apply to you only as far as your local law permits. For UK and EU consumers, section 18 also applies and takes priority.
15. Indemnity
You will defend and indemnify First Mate against third-party claims arising from Your Content, your breach of these Terms, or your violation of the law or someone else's rights.
16. Ending this agreement
You can stop using First Mate at any time and ask us to delete your account (see our Data Retention page). We may suspend or close an account that breaches these Terms or the Acceptable Use Policy, or to protect the Service or other users; where we can, we tell you first. Sections 5 (licence for as long as we hold Your Content), 6, 7, 12–15 and 17–19 survive the end of this agreement.
17. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you and we consent to their jurisdiction. Nothing here removes a consumer protection right you have under the law where you live; for UK and EU consumers, see section 18.
18. Consumers in the UK and EU
This section applies if you live in the UK or the EU and use First Mate for purposes outside your trade, business or profession. Where it conflicts with anything else in these Terms, this section wins.
- Your local law still protects you. Choosing Nevada law in section 17 does not take away the protection of the mandatory consumer laws of the country where you live.
- You can go to your local courts. You may bring a claim in the courts of the country where you live (in the UK, the courts of England and Wales, Scotland or Northern Ireland), and we will only bring a claim against you there.
- Your statutory rights are not affected. Sections 13 and 14 do not limit your legal rights that digital services are supplied with reasonable care and skill and match their description, or your remedies when they are not.
- What we are responsible for. We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill, but not for loss or damage that was not foreseeable. We are not responsible for business losses. The US$100 limit in section 14 does not apply to you.
- Section 15 (Indemnity) does not apply to you.
- If we introduce paid plans, you will have any right to cancel that your local law gives you.
19. General
We may assign these Terms as part of a merger, acquisition or sale of our business; you may not assign them without our written consent. Neither of us is liable for delays caused by events beyond reasonable control. If part of these Terms is unenforceable, the rest still applies. Not enforcing a term is not a waiver. These Terms, the Privacy Policy, the Acceptable Use Policy and (where it applies) the Data Processing Addendum are the whole agreement between us about the Service.
20. Changes to these terms
We may update these Terms. For a material change we will tell you by email or in the app at least 30 days before it takes effect, and ask you to accept the new version when you next sign in. If you don't accept it, you can stop using First Mate and ask us to delete your data.
